Business / Commercial Attorney Needed – Core Agreements for IT Consulting Firm

Summary I’m the founder of an IT consulting and systems advisory firm serving regulated SMBs (healthcare, professional services, gov-adjacent). I’m looking for a U.S.-licensed business/commercial attorney to draft core legal agreements that will be used across direct client engagements and subcontractors. These agreements will be reused for most engagements, so clarity, enforceability, and risk protection are critical. This is practical, real-world consulting work — not theoretical or corporate-only drafting. ⸻ Scope & Deliverables 1. Master Services Agreement (MSA) For direct client engagements involving IT consulting, systems advisory, and compliance-aware services. Must include: • Clear scope boundaries • Limitation-of-liability language appropriate for consulting services • IP ownership and work-product provisions • Payment terms and late-payment protections • Termination language • Advisory / no-guarantee disclaimers (no legal, audit, or certification guarantees) • Language appropriate for regulated environments without over-promising compliance ⸻ 2. Independent Contractor Agreement For subcontractors and consultants delivering services under my firm. Must include: • Clear independent contractor classification • IP assignment / work-for-hire language • Confidentiality • Non-solicitation • Protection of client relationships and firm IP ⸻ 3. Assessment / Advisory Disclaimer For a low-cost compliance or risk assessment offering. Must clearly: • Frame the service as advisory only • Avoid certification, audit, or legal advice implications • Limit reliance and downstream liability ⸻ What I’m Looking For Required: • Active U.S. bar license (state(s) must be disclosed) • Business or commercial law background • Experience drafting agreements for: • IT consulting firms • Professional services businesses • Technology or systems-focused companies • Strong understanding of: • Consulting risk allocation • Limitation-of-liability structures • IP ownership in services engagements • Contractor vs employee distinctions Nice to have (not required): • Experience with regulated or compliance-sensitive environments • Prior work with MSPs, IT consultants, or SaaS-adjacent businesses ⸻ What This Is NOT • Not incorporation or entity setup • Not tax, bookkeeping, or HR services • Not a junior or “learning on the job” role • No ongoing retainer required for this engagement (Future advisory work is optional, but not expected) ⸻ Engagement Structure • Fixed-scope drafting project • Open to fixed-price or hourly with a clear cap • Expectation: finalized, usable agreements within 1–2 weeks • Goal is clean primary drafts that require minimal future revision ⸻ To Apply (Required) Please include all of the following: 1.
